MUSASHI - Terms of Service (U.S.)

Overview

These Terms of Service ("Terms") govern your access to and use of the MUSASHI online store (the "Site") and any purchase of our products ("Products"). The Site is operated by Vitaco Health (NZ) Limited ("MUSASHI," "we," "us," or "our"), a New Zealand company registered to do business in Delaware (registered agent: COGENCY GLOBAL INC., Dover, DE). The Site is hosted by Shopify Inc. By visiting the Site or buying from us, you agree to these Terms and to the policies referenced here (including our Privacy Notice).

If you do not agree, do not use the Site.

1) Eligibility & Accounts

  • Age & capacity: You must be at least the age of majority where you live (18 in most U.S. states), have legal capacity, and use a payment method you’re authorized to use.
  • Minors: If under 18, a parent/guardian must review these Terms and place orders for you.
  • Account security: You’re responsible for keeping your credentials confidential and for activity under your account. Notify us of suspected unauthorized use.
  • E‑communications: You consent to receive electronic communications consistent with the E‑SIGN Act.

2) Health & Safety; No Medical Advice

  • Not medical advice: Site content is general information only.
  • FDA notice: Statements on the Site have not been evaluated by the Food and Drug Administration. Products are not intended to diagnose, treat, cure, or prevent any disease.
  • Use as directed: Read labels and follow directions. Consult a healthcare professional before use - especially if pregnant/nursing, taking medication, have a condition, or are under 18. Use is at your own risk.
  • California Proposition 65: California Proposition 65 warnings apply only to dietary supplement Products. Certain supplement Products may contain trace amounts of naturally occurring substances (including heavy metals) that trigger California Proposition 65 disclosure requirements. Where applicable, required warnings will be provided on supplement product labels or supplement product detail pages. For more information, visit www.P65Warnings.ca.gov.

3) Product Information & Availability

  • Descriptions: We aim for accuracy, but images, colors, flavors, and sizes can vary (including normal lot‑to‑lot variation). We may correct errors or update information without notice.
  • Availability & limits: We may limit quantities, refuse orders, discontinue Products, or alter promotions at any time. Products are for personal use only (no resale) unless we agree in writing.
  • Quality variances: Natural ingredient variation may affect color or flavor without affecting quality.

4) Orders & Acceptance

  • Placing orders: Verify items, quantities, and shipping address before checkout.
  • Offer & acceptance: Your order is an offer to buy. We accept only when we ship your order and send a shipping confirmation. We may cancel orders due to pricing or description errors, suspected fraud or resale, or lack of availability. If cancelled, we refund amounts paid for the cancelled portion.

5) Pricing, Taxes & Payment

  • Currency: All prices are in USD.
  • Changes: Prices and promotions may change without notice (not retroactive to accepted orders).
  • Taxes & fees: We collect applicable sales tax (and similar transaction‑based taxes) based on your delivery address. Shipping and handling charges may also be subject to tax where required by U.S. law.
  • Processing: We use third‑party payment processors (e.g., Shopify Payments); their terms apply. We may authorize payment at checkout and capture payment when your order ships.
  • Accuracy: Provide current, complete, and accurate billing and contact information and update it promptly.

6) Shipping, Delivery & Risk of Loss

  • Where we ship: U.S. addresses only at this time (restrictions may apply to P.O. Boxes, APO/FPO/DPO, Alaska, Hawaii, and U.S. territories - see our Shipping Policy for details).
  • Rates: Standard shipping is $5.99 USD. Free standard shipping applies to orders with a merchandise subtotal of $74.99 USD or more, after discounts and before tax and shipping. Expedited shipping methods and oversized items are excluded.
  • Timing: Orders are typically processed within 1–2 business days. Tracking information is provided once your order is dispatched. Carrier delays due to weather, peak periods, or other events are outside our control.
  • Risk & title: Risk of loss and title pass to you upon our delivery of the order to the carrier, except where prohibited by law. Inspect packages upon receipt and contact the carrier and us.team@musashi.com promptly if there are issues.
  • Force majeure: We are not responsible for delays or failures caused by events beyond our reasonable control.

7) Returns, Refunds & Replacements

Unless required by applicable law, we do not accept returns of Products once delivered to consumers.

  • No returns policy: For food and consumable safety reasons, Products cannot be returned for change of mind. We may, at our discretion, request or arrange a return solely for internal quality review purposes; this does not create a general right of return.
  • Reporting window: Delivery issues, shortages, defects, or damage must be reported within 1–2 days of delivery and no later than 7 days after delivery. Claims submitted after 7 days will not be accepted except where required by law.
  • What we may request: Order number, product name/size, lot or batch number, best‑before date, photographs, and a description of the issue to support investigation and carrier or quality claims.
  • Remedies: Where a valid claim is confirmed, and as permitted by law, our sole remedy is replacement, store credit, or refund of the affected item, at our discretion.
  • Shipping charges: Shipping fees are refundable only where we made an error or where required by law.
  • Final sale: Short‑dated items, bundles, and promotional freebies are final sale where permitted by law.

8) Best Before Dating

  • General standard: All Products are supplied with a clearly marked “Best Before” date.
  • Minimum remaining shelf life at dispatch: Unless otherwise stated on the product detail page:
    • Bars will have at least 3 months remaining until the Best Before date at the time of dispatch.
    • Powders will have at least 4 months remaining until the Best Before date at the time of dispatch.
  • Short‑dated products: Products supplied with less than the minimum remaining shelf life stated above will be clearly disclosed on the product detail page as short‑dated prior to purchase and may be designated as final sale where permitted by law.
  • Quality assurance: “Best Before” dates relate to quality, not safety, when Products are stored as directed.

9) Subscriptions (if offered)

  • If you enroll in a subscription: (i) deliveries will auto‑renew at the frequency you select; (ii) you authorize recurring charges until you cancel; (iii) prices and discounts may change with notice; and (iv) you may skip, reschedule, or cancel before the stated cutoff. We comply with applicable U.S. state auto‑renewal laws.

10) Promotions, Codes & Gifts with Purchase

  • No stacking: Unless expressly stated, promotions and codes cannot be combined or applied to past purchases. One code per order. No cash value.
  • Limits: Offers are subject to availability, time limits, per‑customer caps, and early modification or termination.
  • Gifts with purchase: One per order while supplies last. Substitutions may occur.
  • No price matching: We do not price match other retailers or marketplaces.

11) Loyalty - “Musashi United” (U.S.)

  • If offered in the U.S., membership benefits, exclusions, and termination will be governed by separate Musashi United Terms. Unless stated otherwise, loyalty discounts apply only to full‑priced items when signed in and do not stack with other offers.

12) User Content, Reviews & FTC Disclosures

  • License: By submitting reviews, comments, photos, or videos (“User Content”), you grant MUSASHI a worldwide, perpetual, irrevocable, royalty‑free, transferable, and sublicensable license to use and display such content in any media.
  • Authenticity & rights: You represent that you own or control the rights to your User Content and that it is truthful, lawful, and not misleading or defamatory.
  • Endorsements: Any material connection to MUSASHI must be disclosed in accordance with FTC Endorsement Guides.
  • Moderation: We may remove User Content we consider unlawful, infringing, misleading, or objectionable.

13) Intellectual Property & Acceptable Use

  • All Site content is owned by MUSASHI or its licensors and protected by applicable laws. You are granted a limited, non‑commercial license to use the Site for personal shopping only. Prohibited activities include scraping, data mining, reverse engineering, security testing, or unlawful use.

14) Warranty Disclaimer

  • To the fullest extent permitted by law, the Site and Products are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied. Some states do not allow certain warranty exclusions, so these may not apply to you.

15) Limitation of Liability

  • To the fullest extent permitted by law, MUSASHI’s total liability for any claim will not exceed the amount you paid for the Product(s) giving rise to the claim. We are not liable for indirect, incidental, or consequential damages where excluded by law.

16) Disputes; Arbitration; Class Action Waiver

  • Disputes will be resolved by binding, individual arbitration administered by the American Arbitration Association, except for matters eligible for small claims court or injunctive relief for intellectual property. You may opt out within 30 days of your first purchase by emailing us.team@musashi.com.

17) Changes to These Terms

  • We may update these Terms from time to time by posting a revised version with a new “Last updated” date. Continued use of the Site constitutes acceptance.
